The 2025 Johnny Was Fairmont Kea Lani Hawaii Sweepstakes (“Sweepstakes”) is open only to residents of the 50 United States of America or the District of Columbia who are 18 years of age or older as of their time of entry. Employees of Johnny Was, LLC or CCFH Maui LLC or their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies and such employees’ immediate family members (parents, spouse, children and siblings), and persons living in the same household as such persons, whether or not related, are not eligible to enter the Sweepstakes. The Sweepstakes is governed exclusively by the laws of the United States. Void where prohibited, taxed, or restricted by law. All federal, state and/or local rules and regulations apply. Participation constitutes entrant’s full and unconditional agreement to these Official Rules. Sponsor’s decisions are final and binding in all matters related to these Sweepstakes. PROMOTIONAL PERIOD

The Sweepstakes begins on September 22, 2025 at 12:00 AM Pacific Time (“PT”) and ends on September 29, 2025 at 11:59 PM PT. Sponsor’s computer is the official time-keeping device for the Sweepstakes.

Johnny Was gift cards are valid for payment towards purchases in Johnny Was retail stores and at johnnywas.com. Johnny Was gift cards are not valid toward purchases of gift cards, shipping, handling, taxes or prior purchases. Johnny Was gift cards are void if defaced, altered, resold or transferred for value. Johnny Was gift cards are not reloadable and are not replaceable if lost or stolen. Johnny Was is not responsible for unauthorized use of Johnny Was gift cards. Johnny Was gift cards are not refundable or redeemable for cash, except as required by law.

Actual value may vary based on fluctuations in value of accommodations. Winner will not receive difference between actual and approximate retail value.

TAXES

Winners may receive an IRS form 1099 at the end of the calendar year, a copy of which form will also be filed with the Internal Revenue Service. WINNER IS SOLELY RESPONSIBLE FOR REPORTING AND PAYING ANY AND ALL LOCAL, COUNTY, STATE, FEDERAL AND OTHER TAXES, INCLUDING INCOME, SALES OR EXCISE TAXES, THAT MAY APPLY TO THE PRIZE; SPONSOR IS NOT RESPONSIBLE FOR AND WILL NOT PAY ANY TAXES, MAKE ANY CASH PAYMENT IN RESPECT OF TAXES OR PROVIDE ANY ASSISTANCE TOWARD THE WINNER’S TAX OBLIGATIONS.

Odds of winning depend on the number of correct entries received.

WINNER SELECTION

Sponsor will randomly select one (1) winner from the valid entries at the end of the Promotional Period. All results of the selection are final and binding, subject to these Official Rules.

WINNER NOTIFICATION

The potential winner will be notified via Instagram Direct Message. The potential winner will be required to complete and sign an Affidavit of Eligibility and Compliance and Liability Release (collectively, the “Required Documentation”), which may require potential winner’s name, home mailing address and date of birth, within five (5) days of the date notice or attempted notice is sent. If a potential winner cannot be contacted using the information provided or fails to respond to Sponsor’s attempt to notify them of selection within five (5) days; if any notification is returned as undeliverable or yields an error of undeliverable type “bounce back” (regardless if the message is ultimately delivered to the recipient); if Sponsor is unable to verify potential winner’s eligibility; if potential winner fails to sign and return the Required Documentation within five (5) days or fails to comply with these Official Rules; if any prize is returned undeliverable; if a potential winner is unable or unwilling to accept the prize as stated; or if the potential winner cannot be verified as eligible for any other reason, the potential winner is disqualified and an alternate winner will be selected by random drawing from among the eligible entries. In the event that a potential winner is disqualified for any reason, the next eligible entry randomly selected by Sponsor that is fully compliant with these Official Rules shall be deemed the potential winner, until the prize is awarded or until four (4) attempts have been made to award the prize and each attempt has failed. Sponsor will identify each potential winner and verify the potential winner’s eligibility after the end of the Promotional Period.

PRIZE RESTRICTIONS

Prize cannot be redeemed for cash or substituted for any other items by the winner, except as required by law. The winner cannot assign or transfer prize. Sponsor reserves the right to substitute a comparable prize of like or greater value, including cash, for any prize or portion of the prize, for any reason. Only one prize will be awarded. Individuals are eligible to win only one prize in a promotion sponsored by Johnny Was within any twelve (12)-month period, regardless of the number of promotions or giveaways entered.

RELEASE AND PUBLICITY

By entering, entrants represent that they are eligible, and agree (a) to be bound by these rules and the decisions of Sponsor, (b) to release Sponsor and Fairmont Kea Lani and their respective parents, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, losses, or damages of any kind arising from participation in the Sweepstakes, caused by any prize or resulting from acceptance, possession, use, or misuse of any prize, and (c) to Sponsor’s use of entrants’ personal information as described in the Johnny Was Terms and Conditions located at www.johnnywas.com/terms-and-conditions.html(the “Johnny Was Terms”) and the Johnny Was Privacy Policy located at www.johnnywas.com/privacy-policy.html (the “Johnny Was Privacy Policy”) and to Fairmont Kea Lani’s use of entrants’ personal information as described in the Fairmont Kea Lani Terms and Conditions (the “Fairmont Kea Lani Terms”) and the Fairmont Kea Lani Privacy Policy (the “Fairmont Kea Lani Privacy Policy”). Except where prohibited by law, entry constitutes permission for Sponsor to use entrants’ names and photos, including publicly posting to Sponsor’s Instagram site and any in any other media including for advertising and publicity purposes, without compensation. Entrants agree that Sponsor may share personal information of entrants with Fairmont Kea Lani for solicitation, marketing and other business and promotional purposes as permitted by the Johnny Was Privacy Policy and the Fairmont Kea Lani Privacy Policy.

EMAIL COMMUNICATIONS

By entering, entrants agree to receive promotional emails and marketing from or on behalf of Sponsor and Fairmont Kea Lani and agree to the Johnny Was Terms, the Johnny Was Privacy Policy, the Fairmont Kea Lani Terms and the Fairmont Kea Lani Privacy Policy. You may opt out of receiving marketing emails from Sponsor at any time by clicking the “unsubscribe” link in the email to manage your preferences or as otherwise provided by the Johnny Was Privacy Policy.

GENERAL CONDITIONS AND LIMITATIONS OF LIABILITY

Sponsor is not responsible for error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or technical, network, telephone equipment, electronic, computer, hardware, or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry, winner(s) or other giveaway information by Sponsor or entrants for any reason whatsoever. Sponsor is also not responsible for any injury or damage to any entrant’s or any other person’s computer related to or resulting from playing or downloading any materials in the promotion or for entries that are late, misdirected or incomplete. All entry materials may be maintained as part of Sponsor’s promotional records. All entrants acknowledge that they own all of the intellectual property rights in all photos posted to Sponsor’s site and will not post any photos to such site to which they do not have the rights of ownership and will indemnify Sponsor for any intellectual property infringement. Sponsor reserves the right, in its sole discretion, to disqualify from the Sweepstakes, and ban from any future promotions, any person it believes to have intentionally violated these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or to have tampered with any element of the Sweepstakes without notice to the disqualified or banned person. DISPUTES

Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Central District of California (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
